Upgrade to win 7 64GB question

Will I benefit to switch over ( from win xp ) to win 7, 64 bit 8GB Ram, or get the win 7 32 bit 4GB one for VideoStudio pro X3?
Is it true to state that VideoStudio Pro X3 can only use 2GB of RAM no matter which Operating System you use.

Anybody had this experience?

P.S. My CPU now is Intel Core Quad 2.4GHz with 4GB memory.
