PC upgrade advice for hdv system

Hello all, hoping somebody can help me with some technical advice for upgrading my system. I've just finished a couple of jobs and i think i/my pc deserves some more power...

i'm currently running:

ABIT AA8 DuraMAX motherboard
Pentium 3.4ghz (single core with ht)
2gb ram (4x 512mb)
128mb radeon x700 pro gfx card
2x 250gb sata drives

I use after effects a lot for keying, compositing and colouring so the extra speed will really help me here

& i edit in premiere (hdv) so a bit more speed will help me here too

A new processor is top of my list as quad cores are on ebuyer.com from £165

which seems incredibly cheap although i hear if i want to upgrade my processor i also need to upgrade my motherboard...

Do current motherboards have more than 4 slots for RAM? or would i need to replace this too?

+ would a graphics card upgrade be worthwhile? whenever im currently rendering anything it mostly seems to be the cpu thats being used.

Hopefully someone can lend me some of their wisdom
