Is there any difference between the regular version of FCS2 and the academic version other than price and no upgrades allowed? Are they the exact same otherwise?

They are exactly the same other than the differences you delineated.

According to Apple, if you were to make any profit from something produced with the educational version, they could try to sue. I do not see how they would ever know.
